Terms of Sale

Version: counsel-approved-2026-09-04 · Seller: Sun King Metals LLC, a Florida limited liability company trading as Gigabrain Systems (“we”). Gigabrain and Gigabrain Systems are trading names of Sun King Metals LLC; the contracting party on every purchase is Sun King Metals LLC. These terms govern your purchase; the software itself is governed by the Gigabrain Licence, which you accept by using it.

1. What each tier includes

The Gigabrain System ($197 launch price; $394 list): the complete kit (all 24 pre-built loops) and twelve months of the update stream. What you have received never stops working - the licence’s own terms say expiry ends new entitlements, nothing else. Renewal after year one: $139/yr at list, locked at $99/yr for as long as your renewal stays continuous.
Gigabrain Lifetime ($397 launch price; $794 list): the above, plus every update to the v1 version line, forever, plus marketplace access when it opens - and sales you make on that marketplace are charged half the standard commission. A future major version (v2) is a new purchase at half its list price for lifetime holders - locked here so "lifetime" cannot be hollowed out by a version bump. Hosted add-on services, if any are ever offered, are not included in Lifetime and would be sold separately - they carry recurring costs, and we don’t sell recurring costs for a flat fee. None is planned; the System runs entirely on your machine.
Team 5-Pack ($749 launch price; $1,498 list): five System licences (all 24 loops each), each issued to one named individual you designate. You may buy up to ten packs in one order. Pack renewal $449/yr at list, locked at $349/yr for as long as the pack renews continuously. Seats are personal per the licence; embedding the System in products or services remains prohibited at any seat count.
Gigabrain Concierge ($1,497 launch price; $2,994 list): a $397 Gigabrain Lifetime digital licence plus a $1,100 live service: one live one-hour Zoom call with the founder to scope and personalise your setup - including custom loops scoped for your business on the call, and help installing and configuring your agent. You pick your slot immediately after checkout. The call is the deliverable; it does not create a standing support entitlement.

2. Launch pricing

Every price in §1 is a launch price: half the list price shown beside it. We will publish the end date before the launch period closes; there is no countdown or claim that stock is limited. A purchase made at the launch price is final at that price, and the locked renewal rates above survive for as long as your renewal is continuous.

3. Delivery

Digital delivery by email, automatically, when payment clears. Each copy is individually watermarked with your licence identifier (see the licence, §6, and our privacy notice). Your delivery email contains your licence id, a download link, and the archive’s SHA-256 checksum so you can verify what you received. If nothing has arrived within 24 hours, use the private support details in your order receipt. Send the request from your purchase address so we can match the right order.

4. The guarantee, and how refunds work

Seven-calendar-day digital-product guarantee, measured from successful delivery. System, Lifetime, and Team purchases qualify for a full refund during that period. The $397 digital part of Concierge follows the same rule. The $1,100 Concierge service is fully refundable until the booked session begins; after it begins, that service fee is non-refundable except where law or non-delivery requires otherwise. A full Concierge refund is available when the request arrives within seven calendar days of digital delivery and before the session begins.

Use the refund request form or email support from your purchase address. We ask you to acknowledge that the licence ends and that you will delete the Gigabrain product files. We do not ask for invasive proof of deletion. An optional question about what did not work never affects an eligible refund.

A refund ends the licence: your copies must be deleted (your own notes and content remain yours), and your licence identifier is permanently revoked - no updates, no future hosted services, no marketplace access or affiliate entitlement. Every delivered copy is watermarked with its licence identifier (LICENCE §6); a refunded copy remains attributable, and keeping, using, or sharing it after termination is unlicensed use. The guarantee is once per person: we do not sell a second licence after a commercial-guarantee refund. Statutory consumer rights always override this commercial policy.

5. Updates

The update stream covers tested improvements and new playbooks as agent platforms change. Updates are cryptographically signed and applied by your own agent with one revertible commit; nothing updates itself.

6. Prices and taxes

All prices are in US dollars and exclusive of any applicable taxes. Where we are required to collect tax on your purchase, it is added at checkout; where we are not, any use or local taxes that apply to you are your responsibility. EU/UK business buyers: enter your VAT number at checkout for reverse-charge treatment.

7. Immediate delivery and withdrawal

By purchasing you request immediate delivery of digital content and, where you have one, expressly waive the EU/UK 14-day statutory withdrawal right on that basis. The commercial guarantee in §4 is separate from statutory rights, which continue to apply wherever they cannot lawfully be waived.

8. The named licensee

Each licence is issued to one named individual (the licence, §1). The checkout asks for the licensee’s full name. Name yourself, or gift it by naming someone else. After a Team purchase, the buyer enters each recipient’s name and email address on a private order page. We send each recipient a private invitation. The recipient must accept the Gigabrain Licence before we create or deliver that person’s copy.

9. Customer support

Your order and delivery emails include private support details. Use them from your purchase address if delivery, licensing, or installation goes wrong. The kit also guides your agent through its manuals during setup.

These terms of sale sit alongside the software licence and our privacy notice. If anything here conflicts with a right your consumer law gives you that cannot be waived, your law wins - that’s what it’s for.
